AI Terms and Conditions

These DataHub AI Features Terms and Conditions (“AI Terms”) govern your access to and use of the artificial intelligence features (“AI Features”) provided by Acryl Data, Inc. (“Acryl Data,” “we,” “us,” or “our”) as part of the DataHub platform and supplement the Master Services Agreement (“Agreement”) and Data Processing Agreement (“DPA”) between Acryl Data and you (“Customer,” “you,” or “your”). All capitalized terms used but not defined in these AI Terms shall have the meanings given to them in the Agreement or DPA, as appropriate.
By accessing or using the AI Features, you acknowledge that you have read, understood, and agree to be bound by these AI Terms. Any individual agreeing to these AI Terms on behalf of Customer represents that he or she has the authority to bind Customer to these AI Terms. If such individual does not have such authority or does not agree to these AI Terms, such individual must not accept these AI Terms and may not access or use the AI Features.
1. USE OF AI FEATURES
1.1 Access and Use
Subject to these AI Terms and the Agreement, Acryl Data hereby provides you a limited, non-exclusive, non-transferable, revocable subscription to access and use the AI Features, during the Term (defined below), solely with the Services for your internal business purposes.
1.2 Acceptable Use
You agree to use the AI Features in compliance with these AI Terms, the Agreement, the DPA, and all applicable laws and regulations. You shall not:
a) Use the AI Features for any illegal, harmful, fraudulent, infringing, or offensive purpose;
b) Attempt to reverse engineer, decompile, or disassemble the AI Features;
c) Use the AI Features to develop a competing product or service; or
d) Use the AI Features in a manner that exceeds reasonable usage limits as determined by Acryl Data.
1.3 User Access
You are responsible for managing access to the AI Features within your organization and ensuring that your authorized users comply with these AI Terms.
2. AI-GENERATED CONTENT
2.1 AI Output
The AI Features generate content, suggestions, or documentation (“AI Output”) based on machine learning models and algorithms.
2.2 Quality and Accuracy
While we strive to make the AI Features useful and accurate, you acknowledge and agree that:
a) AI Output is generated automatically and may not always be accurate, complete, or appropriate for your specific use cases;
b) You are responsible for reviewing, validating, and approving any AI Output before using it for any business purpose;
c) Acryl Data makes no representations or warranties regarding the accuracy, reliability, or appropriateness of any AI Output;
d) The AI Features are powered by large language models (“LLMs”), which can produce inaccurate results. While we’ve taken steps to reduce the likelihood of hallucinations, they can still occur; and
e) You should not rely on AI Output as a substitute for professional advice or judgment.
3. TECHNICAL LIMITATIONS
3.1 Performance Expectations
Acryl Data does not guarantee specific response times for AI Feature processing, as performance may vary based on data complexity, system load, and other factors.
4. DATA USAGE AND PRIVACY
4.1 Data Processing
Acryl Data will process your data in accordance with the DPA when providing the AI Features.
4.2 AI Training
Acryl Data does not use data derived from your use of the Services, including the AI Features, to train, tune, and improve the AI models and algorithms that power the AI Features.
4.3 Data Security and Privacy
Acryl Data will maintain appropriate technical and organizational measures to protect your data as described in the Agreement and DPA. Additionally:
- Your metadata is not sent to any third-party LLMs
- All processing occurs within Acryl Data’s AWS account using AWS Bedrock
- Acryl Data does not fine-tune its models on customer data
- All data processing complies with the security and privacy requirements specified in the Agreement and DPA
4.4 Data Retention
Acryl Data retains data used for AI Feature operation in accordance with the data retention policies specified in the Agreement and DPA.
5. MODEL INFORMATION
5.1 Model Usage
The AI Features use LLMs provided by AWS Bedrock. Acryl Data may change the specific models used to power the AI Features without prior notification, provided that such changes do not materially reduce the functionality or security of the AI Features.
5.2 Model Governance
Acryl Data implements governance processes for AI models used in the AI Features, including:
- Regular evaluation of model outputs for accuracy and appropriateness
- Assessment of models for potential biases
- Monitoring for compliance with applicable AI regulations and industry standards
5.3 Human Oversight
Acryl Data maintains appropriate human oversight of the AI models used in the AI Features, including:
- Technical staff monitoring system performance and addressing issues
- Periodic review of model outputs for quality assurance
- Technical controls to prevent inappropriate outputs
6. INTELLECTUAL PROPERTY
6.1 Ownership of AI Features
All right, title, and interest in the AI Features, including all underlying models, algorithms, and systems, are owned by Acryl Data. The AI Features are provided to you as a subscription under these AI Terms, and any intellectual property rights in the AI Features remain with Acryl Data.
6.2 Ownership of AI Output
Subject to Acryl Data’s ownership of the underlying AI Features, you shall own all right, title, and interest in any AI Output generated specifically for you through your use of the AI Features, provided that such AI Output does not include any Acryl Data intellectual property.
6.3 Feedback
If you provide any feedback, suggestions, or recommendations regarding the AI Features (“Feedback”), you hereby grant Acryl Data a perpetual, irrevocable, worldwide, non-exclusive, royalty-free license to use, reproduce, modify, create derivative works from, distribute, and display such Feedback for any purpose, including to improve the AI Features and other Acryl Data services.
7. COMPLIANCE WITH AI REGULATIONS
7.1 Responsible AI Principles
Acryl Data is committed to developing and deploying AI features in accordance with responsible AI principles, including fairness, reliability, safety, privacy, security, inclusiveness, transparency, and accountability.
7.2 AI Impact Assessment
Acryl Data conducts appropriate assessments of AI Features to identify and mitigate potential risks and to ensure compliance with applicable regulations.
8. DISCLAIMERS AND LIMITATIONS
8.1 Disclaimer of Warranties
THE AI FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” AND ACRYL DATA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ACRYL DATA DOES NOT WARRANT THAT THE AI FEATURES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ALL ERRORS CAN BE CORRECTED.
8.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACRYL DATA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE AI FEATURES, EVEN IF ACRYL DATA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
ACRYL DATA’S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE AI TERMS SHALL NOT EXCEED THE LIMITATIONS SET FORTH IN SECTION 12 AND SECTION 13 OF THE AGREEMENT.
8.3 Specific Disclaimer for AI Output
You acknowledge that the AI Features involve inherent risks and uncertainties, and Acryl Data shall not be liable for any damages arising from:
a) Your reliance on AI Output without appropriate validation;
b) Inaccurate, incomplete, or inappropriate AI Output; or
c) Decisions made by you based on AI Output.
9. TERM AND TERMINATION
9.1 Term
These AI Terms shall remain in effect for the duration of the Agreement (“Term”).
9.2 Termination
These AI Terms shall terminate automatically upon the termination or expiration of the Agreement. Additionally, Acryl Data may suspend or terminate your access to the AI Features upon written notice if you breach any material term of these AI Terms.
9.3 Effect of Termination
Upon termination of these AI Terms, you shall cease all use of the AI Features. Section 4 (Data Usage and Privacy), Sections 6 (Intellectual Property), 8 (Disclaimers and Limitations), 9.3 (Effect of Termination), and 10 (General Provisions) of these AI Terms shall survive the termination or expiration of these AI Terms.
10. GENERAL PROVISIONS
10.1 Relationship to Agreement and DPA
These AI Terms supplement and are incorporated into the Agreement and DPA. In the event of a conflict between these AI Terms and the Agreement or DPA with respect to the AI Features, these AI Terms shall control. In all other respects, the terms of the Agreement and DPA shall remain in full force and effect.
10.2 Modifications
Acryl Data may modify these AI Terms from time to time by providing notice to you through the DataHub platform or via email. Your continued use of the AI Features after such notice constitutes your acceptance of the modified AI Terms.
10.3 Severability
If any provision of these AI Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
10.4 Governing Law
These AI Terms shall be governed by and construed in accordance with the laws specified in Section 15 of the Agreement.
10.5 Export Controls
You agree to comply with all applicable export control laws and regulations in your use of the AI Features.
